GENERAL AND PARTICULAR CONDITIONS FOR THE PURCHASING OF INTERNET ACCESS SERVICES AND TELEPHONE SERVICE AVAILABLE TO PARLEM’S AUDIENCE.

FIRST. Aim of the contract.

For this contract, PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL makes available to the natural or legal person the circumstances outlined in the Service Request that are attached to this document (hereinafter, the CUSTOMER), the services indicated in those (hereinafter the Service) defined in the second clause of this contract. The CUSTOMER may select one or more service options from all those offered in the Service Request

SECOND. Definition of SERVICES

  • The Fixed Direct Dialling Service with direct access to the primary telephone network. Consisting of the ability to make calls from the number or numbers designated in the contract. The Service will allow metropolitan, provincial, inter-provincial, international and landline calls to be made in the mode of direct access through the landline telephone network available to the public.
  • The Internet Service.

Comprehensive access to the Internet, to the characteristics and speeds that the CUSTOMER has chosen in the Request for Services.

THIRD. Obligations of the parties.

  • In the Telephone Service.
  1. PARLEM TELECOM TELECOMMUNICATIONS COMPANY is committed to:

Provide the CUSTOMER with the services requested in this Request for Services. This Service is not a fixed telephone service available to the public, but an indirect access telephone service. This type of telephony is provided over a data transmission network, so that the service is vulnerable to power outages.    It is the CUSTOMER'S responsibility to provide the internal facilities of his home (Access Module) with an uninterrupted power supply system.

Provide the CUSTOMER with the Access Module (router) in the manner that they have purchased in the Service Request. Disable additional charging services and international calls when requested in writing by the CUSTOMER. The CUSTOMER can obtain a new telephone number that will be provided by PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL.

In the event that the CUSTOMER wishes to keep their current telephone number, PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL will manage portability vis-à-vis other operators and the reference entity. In this case, the CUSTOMER must sign the document attached to this contract (Portability Annex).

  1. The CUSTOMER agrees to:

Make proper use of the contracted service.

Facilitate PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL access to the place of reception of the Service so that it can comply with the obligations assumed by this Contract.

Refrain from modifying, moving or manipulating the Access Module (router) in any way. Pay every month the amount required by PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL which will include the calls from the previous month, as well as the fee for the Service of the current month.

  • In the Internet Service.
  1. PARLEM TELECOM TELECOMMUNICATIONS COMPANY is committed to:

Provide the CUSTOMER with the Service requested in this Service Request. Certain products or services offered by PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL may be subject to restrictions that limit their access (including the capacity or speed of the Internet Access Service), use or applications, which will be indicated in the conditions of said products or services at the time of purchase. The quality of the Service, including the speed of access to Internet access, may be affected by the execution of the procedures that PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL has established to measure and manage traffic for the purpose and effect of avoid depleting or saturating the network. In relation to the different speed offers of the Internet Access Service made available to the CUSTOMER by PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL, the information on the minimum, normally available, maximum and announced descending speed is attached as Appendix 1 and ascending Internet access services, as well as information on relevant factors that may limit the effective speed of the Internet access service. Install a single network terminal point and also connect a single computer.

However, the subscriber may contract, upon signing it or later, the extension of the service to other computer equipment, the installation will be considered, regardless of the above, as an additional installation.

Make available to the CUSTOMER the connection software and the network terminal equipment (router) in the manner stipulated in the Service Request.

The installation of the connection software and hardware in the CUSTOMER'S computer equipment and its configuration are excluded from the installation of the service, unless they are agreed in the Service Request. In the event that the installation of the software and hardware is not carried out by the operator, it is understood that the obligation to install has been fulfilled by checking the company's technical staff, by their own means, of the availability of the service in the Access Module.

  1. The CUSTOMER agrees to:

Make proper use of the Services and will not use them for illicit or abusive purposes, including, by way of illustration and among others, the following:

  • Any form of violation of the rights of third parties.
  • Actions (including the introduction of viruses or similar) that cause or may cause damage, alterations and/or unauthorized downloads of the contents, in the Services provided by PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL or by third parties, in the equipment and/or computer programs, including files and documents that
  • Alter or intervene by fraudulent means personal web pages, emails or systems of other users or third parties without your permission.
  • Sending messages using a false identity and/or camouflaging its origin in some way
  • Send electronic communications that have not been expressly requested by their recipients, or that they have not expressly authorized in advance.
  • Send electronic communications in a massive and/or repetitive way (spam).
  • Publish, disclose, send, advertise or distribute, directly or through links, any material, subject matter or information with illegal, obscene, pornographic, violent, abusive, defamatory, xenophobic, degrading, misleading, unlawful, immoral or public order which encourages practices that are dangerous, violent, risky or harmful to health, or that apologize for them, that are protected by intellectual and/or industrial property rights of third parties, or violate the right to personal and family privacy and/or the right to one's own image, without the CUSTOMER having obtained the prior written and legitimate authorization of its owner. The CUSTOMER undertakes to use the Services and the contents to which it may access through the Services exclusively for personal use, and not to carry out, either directly or indirectly, a commercial exploitation of the Services to which it has access, or of the results obtained thanks to the use of the Service, unless they have the express written authorization of PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL  PARLEM TELECOM TELECOMMUNICATIONS COMPANY S.L.

will warn you when you detect excessive and unreasonable use of the service, through personal communication with the customer.

If, in any case, you continue to make excessive or unreasonable use of the service, PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL will limit the use of the service to adapt it to the average traffic of the other users. In any case, whenever requested, you will be sent the statistical data on which the service limitation is based.

Make the monthly payment of the bills issued by PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL

Respecting the regulations relating to intellectual property, interference with private communications or obtaining confidential information or any illegal act establishes the regulations governing the Information Society. Grant an easement in favour of PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL, and without any consideration by it, to establish the cable network that will run from the point of entry to the customer's home, when this easement is necessary for the proper provision of this service.

  • In the Television Service.
  1. a) PARLEM TELECOM TELECOMMUNICATIONS COMPANY is committed to: Connect a television point to your cable network, always within the aforementioned address, giving you the following service:

Basic package of national, private and regional television channels, Package of satellite television channels, according to the programming of PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS,

SL in force at any time, and local programming.

The CUSTOMER may purchase, at the signing of this or later, the extension of the service to other televisions, which they will satisfy regardless of the above as an additional installation.

The order and number of channels marketed, as well as the programming, may be modified in whole or in part by PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL by previously informing the customer.

  1. b. The CUSTOMER agrees to:

Have a receiver capable of supporting the signal sent by PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL The inadequacy of the receiving device, exempts from any responsibility this company for the inadequate reception of the service.

Use the service in a way that’s solely and exclusively private.

Respect the regulations relating to intellectual property or industrial property, or any act that is illegal or that gives rise to damages for third parties that occur during the use of the Television Service.

Pay the bills issued by PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL on a monthly basis and referring to the amount of the service.

Grant an easement in favour of PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL and without any consideration by it, to establish the cable network that will run from the point of entry to the customer's home, when this easement is necessary for the correct provision of the service.

FOURTH. Responsibility for the Services.

PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL is not responsible for the contents or programming changes of television channels or audiovisual services in the event that the CUSTOMER contracts, the television operators being responsible who make the television broadcasts to ensure that the programming complies with current legislation.

PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL reserves, if necessary, the right to include advertising in its local programming.

PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL will not be responsible for the content accessible through the Internet service, except in the cases established in the second section of law 34/2002 of 11 July on services of the company of the information and e-commerce. The CUSTOMER undertakes to respect the regulations relating to intellectual property or industrial property, interference in private communications or obtaining confidential information or any illegal act or that causes damage to third parties or that occur as a result of the use by the CUSTOMER of the Internet services, or the use of the Internet services by third parties through his personal password (for this it is presumed that these people have used the password with consent, unless the CUSTOMER would have already requested from PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL, the cancellation of the password in question). It is considered that there is a breach of contract

by the CUSTOMER if third parties through their personal key use the Internet services in a way that harms the image of PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL, or produce any infraction mentioned in this contract. The CUSTOMER must take the necessary precautions in order to preserve their files and computer systems from possible unwanted access by third parties.

In the event of temporary interruption of the Internet Access Service, the CUSTOMER, once the appropriate checks have been carried out, will be entitled to compensation to be determined by apportioning the monthly fee of the Service for the time during which the line has been interrupted. If in a billing period there is a temporary interruption of the Service for more than six hours, between 08:00 hours and 22:00 hours, the compensation will be automatic.  Moreover, PARLEM  TELECOM  COMPANYIA  DE  TELECOMUNICACIONS,  S.L.  offers CUSTOMERS an additional commitment to quality in their services consisting of: For Fixed Services, the maximum downtime for these services in a monthly billing period will be 48 calendar hours. In cases in which PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL, after analysing the problem that has occurred, concludes that the maximum interruption time of the Service has exceeded the aforementioned hours, it will compensate the CUSTOMER who so requests it within a period of a maximum of three days from the start of the interruption of the Service and will compensate it as follows: It will be compensated with a discount equivalent to the proportional part of the fee during the days that the CUSTOMER is without Service from the 48 hours without Service.  The aforementioned indemnity will be made effective on the invoice corresponding to the invoicing period in which the indemnity is communicated and validated.

The warranty of the Access Module will not exceed the warranty time applied by the manufacturer of the same.  It will be the responsibility of the CUSTOMER to equip themselves with the corresponding uninterruptible power supply system to the Access Module (router) in their home, exempting from it PARLEM TELECOM TELECOMMUNICATIONS COMPANY,

SL in the event of a fall in the electricity supply service.

In the event that in the course of an intervention to resolve a fault it is shown that the cause is attributable to the CUSTOMER due to improper handling of the equipment of PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL, the CUSTOMER excuses PARLEM TELECOM

COMPANYIA DE TELECOMUNICACIONS, SL from any responsibility regarding these services. The occasional interruptions made by PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL due to the improvement in the service, do not give the right to compensation in favour of the CUSTOMER. These interruptions will be made in the shortest possible time and will be carried out preferably during time slots of minimum service consumption. Neither party will be liable for delays or non-compliance caused by force majeure.

In any case, the complete responsibility of PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS,

SL arising in relation to this contract will not exceed, under any circumstances, the amounts paid by the Service in the THREE (3) months prior to the date of the claim.

FIFTH. Incident resolution.

The CUSTOMER must notify PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL of any unavailability of the service. After being notified, PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS,

SL will try to restore this service as soon as possible.

The CUSTOMER will have the right to ask PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL to accredit the presentation and content of the incident or claim by means of any support that allows this accreditation. When the claim refers to a certain invoice, it must be submitted within TEN (10) working days following receipt by the CUSTOMER. In this case, the CUSTOMER is, however, obliged to pay the sum of those communications that have not been claimed. If the CUSTOMER does not obtain a satisfactory response to his complaint, within one month, he may address his complaint to the Spanish Secretary for Telecommunications and the Information Society.

SIXTH. Maintenance of SERVICES.

The CUSTOMER will have the right to receive the provision of the Services after the signing of this contract and once the installation of the equipment has been carried out.

The installation that serves to connect the trunk and distribution network of the operator with the address of the CUSTOMER, and until the placement within it of a network terminal point, is called external installation.  The installation placed inside the subscriber's home and from the network terminal point to the devices receiving the services is called an indoor installation. The maintenance of the outdoor installation will be the responsibility of PARLEM TELECOM TELECOMMUNICATIONS COMPANY,

SL throughout the term of the contract, except if the poor condition or operation is due to a malicious or negligent action of the CUSTOMER.

The warranty service will always include the travel and labour costs of qualified personnel, and the replacement of defective material, parts and equipment when the poor condition, in addition to not being attributable to the CUSTOMER, is not a fortuitous event. or force majeure.

The maintenance of the interior installation is at the expense of the CUSTOMER, who must meet, in accordance with the rates in force at the time of its provision, the costs of replacement, travel and labour that arise from causes other than the diligent use, even by fortuitous event or force majeure, once the warranty period established in the eighth stipulation of this condition has elapsed.

The CUSTOMER may contract, initially or later, the maintenance service of the indoor installation for after the warranty period, which will cover travel and labour costs, provided that the defect or loss is not caused by a wilful or negligent act or omission of the CUSTOMER. The replacement of material, parts and equipment to satisfy the CUSTOMER in the amount determined in the current rates when its deterioration is not caused by diligent use.

If it is necessary to carry out any type of installation on the CUSTOMER'S computer equipment, this installation may be carried out by personnel duly authorized by PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL, and in this case the CUSTOMER will authorize the corresponding installation and will exempt PARLEM TELECOM COMPANYIA

DE TELECOMUNICACIONS,

SL of any loss of warranty of its computer equipment, of any damage and/or loss produced in the software that the CUSTOMER has installed in his computer equipment, as well as of any accidental error produced in the computer equipment of the CUSTOMER, and which may take place as a result of the facilities necessary to be able to receive the Internet access service.

SEVEN. Rental or sale of THE EQUIPMENT.

PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL will deliver to the CUSTOMER, in perfect conditions of use, a terminal device of the optical network (Access Module or router) necessary for the provision of the contracted Services. The installation of the router will involve a transfer of use in favour of the CUSTOMER, and the duration will be the period of validity of this contract. The router will be the property of PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL and the CUSTOMER may not transfer or deliver them to third parties, having to keep in his possession during the term of this contract, and use it exclusively on the site and for the purpose contracted. The CUSTOMER must pay the amount established in the rate appendix.

The use regime will be the rental regime if the parties do not expressly agree otherwise.

The warranty of the router will be the same as that provided by the manufacturer to PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL, provided that the CUSTOMER has not manipulated it improperly, making technical modifications or causing culpable or negligent damage.

EIGHTH. Price and method of payment.

The price of the Services for both registration and the monthly fee is set out in the annex to this contract. PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL will charge the CUSTOMER the provision of the Services in accordance with the rates in force at any given time.

Prices will be updated annually, with effect from January 1 of each year, in accordance with the Consumer Price Index established by the Autonomous Community of Catalonia by the National Statistics Institute or body that assumes this function.

This variation will be passed on to the customer, without prior personal notification.

Rates will be revised based on the costs of the contracted service.  PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL will notify the CUSTOMER of the revision of the rates that affect it at least thirty (30) days in advance of the date of issue of the corresponding receipt for collection, understanding the CUSTOMER'S compliance with the proposed revision, if in the FIFTEEN (15) days prior to that date, it does not express its opposition.

The CUSTOMER dissatisfied with the revision of the rates may cause the price to be revoked if the price has been revised, notifying PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL  within the stated time limit.  Likewise, PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL may unilaterally resolve the provision of the service when the price that has been reviewed is not accepted by the CUSTOMER; and maintaining in both cases, if this is technically possible, the current contract, with respect to the rest of the contracted services.

  • Payment method.

The CUSTOMER must pay PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL the registration fee as well as, if applicable, the price for the acquisition of the equipment, according to the rates in force at the time of signing this contract. .

The registration fee will not be refundable and may in no way be construed as a deposit, bond, loan, down payment, or other figure of a similar nature.

The time of payment of all the concepts and services contracted, will be when it appears to the collection by PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL of the corresponding bank receipt.

Calls will be charged for seconds elapsed.

The Services will be paid in advance on a monthly basis and within the FIVE (5) first days of each month, by direct debit at a branch located in Spanish territory, having to maintain a sufficient balance in the account to meet the payment of the appropriate amounts.   PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL is expressly authorized to transfer the corresponding receipt against the CUSTOMER'S bank account specified in the Service Request. If the bank does not pay the receipts sent against the CUSTOMER'S bank account, all the expenses that as a result of their return must be borne by PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL will be met.  In any case, the CUSTOMER must notify PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL of the change of bank account against which the receipts are turned over for collection, authorizing at the same time for this purpose, and being responsible for this lack of notification.

All work carried out by PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL on installation, maintenance and technical assistance, replacement of materials, parts and equipment and travel, must be satisfied by the CUSTOMER in a single payment, including its amount on the bank receipt immediately following the execution and acceptance.

NINTH. Security deposit.

  • Causes.

In the terms established by current legislation, PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL may require from the CUSTOMER a security deposit both at the time of purchase and during the term of the contract in cases where the CUSTOMER has left unpaid one or several related bills or other previous or current contracts with PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL, or any other operator, or if the CUSTOMER repeatedly incurs late payment of the bills corresponding to the services.

  • Estimate.

The security deposit may be made in cash or bank guarantee, and the amount will be determined according to the following criteria:

  • In the first case, adding the amount of the last three unpaid bills of the subscription contract that substantiate the requirement of the deposit. In the event that there were less than the unpaid bills, the resulting amount will be to triple the last one
  • In the second case, adding the amount of the last three bills issued to the contract holder or, in the event that the contract was less old, the amount resulting from tripling the last bill

9.3 Absence of payment.

If the CUSTOMER does not constitute the security deposit that corresponds within FIFTEEN (15) days following the reliable request of PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL, the company will be able to proceed with the suspension of the service. If after a new period of TEN (10) days from a second request the customer does not pay the security deposit, their service may be cancelled. In the case of requiring the deposit at the time of purchase, in the absence of its payment PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL may reject their application.

9.4. Refund.

PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL will refund the deposit, in the event of its payment due to repeated delays in payment, when it is proven that in ONE (1) year there has been no delay in the payment of receipts issued to the holder of the contract; and in the second case, as soon as the operator is aware of the full payment of the amounts due.

If the CUSTOMER with outstanding debts cancels the service or requests a change in the ownership of their subscription, PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL may execute the guarantee for the total debt contracted, and making the change available to the CUSTOMER. If the CUSTOMER has paid all receipts, the deposit will be refunded in full. PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL will proceed to return the security deposit within FIFTEEN

(15) days from the day following the day on which the circumstances provided for in the previous sections are met.

TENTH. Beginning and validity.

This contract will take effect once it is signed.

The term of validity of this contract is ONE (1) year, automatically renewable for the same period, unless expressly waived by any of the parties with THIRTY (30) day notice.

In the event that the CUSTOMER intends to receive the services at an address other than that determined in the contract, the CUSTOMER must sign a new agreement with PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL, under the same conditions as this one.

ELEVENTH. Suspension and interruption of SERVICES. 11.1.Suspension.

  • Temporary suspension of the service at the request of PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL

PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL may, in accordance with current legislation, temporarily suspend the service due to occasional or continuous delay of the CUSTOMER in the payment of the service for a period exceeding ONE (1) month, counting from they are notified by PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL of the corresponding charge document when it discovers that there has been a falsity in the personal or bank data provided by the CUSTOMER, or when the provision of the service is conditional on the non-exceeding of a credit limit.

In the event of suspension due to non-payment, the services for incoming calls will be maintained, except for those charged to the destination, and emergency outgoing services until the service is interrupted or, where applicable, until it is reactivated. Likewise PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL may temporarily suspend the service when, in the event of excessive consumption, it is estimated that the CUSTOMER is engaging in fraudulent conduct in breach of its obligation to use the service for him.

The suspension of the service does not exempt the CUSTOMER from the obligation to continue with the payment of the corresponding fixed periodic fees.

  • Requirements. In order for the service to be suspended, the following requirements must be met:
  • PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL will require payment and notify the suspension by means of a communication which will be made at least FIVE (5) days in advance of the date on which the suspension of the service will take place.
  • The communication shall indicate the date on which, if payment is not made, the suspension will take place.

In the event that the CUSTOMER has submitted a complaint to the Consumer Arbitration Boards or to the Secretary of State for Telecommunications and the Information Society, PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL will not suspend or interrupt the service while the claim is being substantiated, provided that the CUSTOMER reliably consigns the amount due, delivering the corresponding proof of payment to PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL

  • Re-establishment of service. PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL will restore the suspended service during the working day following the day on which it is established that the amount due has been paid.
  • Service interruption.
    • In accordance with current regulations, when there are temporary interruptions in the service due to breakdowns attributable to PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL they will compensate the CUSTOMER with a number of minutes of telephone calls or with the delivery of an unpaid deposit based on the customer's consumption habits equivalent to the period of the THREE (3) months prior to the interruption, prorated by the period in which the interruption takes place.

The provisions of the previous section will not apply when the temporary interruption is motivated by any of the causes.

  • Force majeure causes. PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL will not be responsible for interruptions or malfunctions of the service due to network failures caused by natural disasters, such as earthquakes, floods, lightning or fires or for situations of force majeure or causes not attributable to PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL Neither will PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS,S.L. be held  responsible in situations of extreme emergency, such as labour disputes or serious employer issues, wars, military operations, civil unrest, or any other situation of a similar nature.
  • Absence of electricity supply for a period longer than that supported by the uninterruptible power supply systems of PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL
  • Serious breach by the CUSTOMER of the contractual conditions, especially in case of fraud or delay in payment.
  • Delay in payment for a period of more than THREE (3) months or temporary suspension of the contract, on TWO

(2) occasions for late payment will result in the permanent interruption of service and termination of the contract.

Because of the damage caused to the network due to the CUSTOMER'S connection of terminal equipment, the conformity has not been assessed, in accordance with current regulations.

It is applicable to the interruption of the service, which is provided for in the Eleventh Clause of these conditions for suspension in the event of a claim for the amount due.

TWELFTH. Termination of the Contract.

12.1. Normal causes of expiration.

The CUSTOMER may request the termination of the contract at any time, provided that they expressly notify PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL with a THIRTY

(30) day notice.

If the CUSTOMER who has accepted, at the time of the Contract Application, any special promotion requests the termination of the contract during the first year of validity, they must pay the connection fee price in force in the time of discharge.

  • By formal complaint of PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL for breach by the CUSTOMER of any of the conditions of this contract. This termination will occur in full at the time the CUSTOMER is notified, who will not be entitled to any compensation for payments made up to that time.
  • Manipulation by the CUSTOMER, without prior authorization from PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL of the infrastructure and equipment of PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL, which reserves the right to take appropriate legal action in the event of this cause of termination.

12.2 - .Consequences

In the event that the CUSTOMER has equipment on assignment or rental and the Services contract associated with these equipment is terminated, or if they request a change in the service that requires other equipment, they must return them with all the accessories according to the procedure established by PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL, which will have different ways to return them that can be consulted on the website and/or through the Customer Service. These equipments will have to return in a state of correct operation and without no other deterioration that the caused by the pass of time. In the event that PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL does not receive this equipment in a state of correct operation and without any other deterioration than that caused by the pass of time, or within thirty (30) working days from the end of the contract, PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL reserves the right to invoice the CUSTOMER the amount corresponding to its residual value.

THIRTEENTH. Assignment of the contract and the Service.

The CUSTOMER may not resell or transfer the purchased services in any way.  FOURTEENTH.  Secret of communications.

PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL will adopt the measures and install the technical means required by current regulations at all times to ensure the secrecy of communications depending on the characteristics of the infrastructure used.

FIFTEENTH. Data Protection.

PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, S.L. informs the CUSTOMER that the information

provided in the Application will form part of a personal data file of which PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL owns and is responsible for and whose purpose is the management of the provision of the contracted service, as well as to report on the service and related activities. At the same time, by signing this contract the CUSTOMER gives their consent for PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL to include their data in the subscribers' telephone directory.

SPECIAL CONDITIONS APPLICABLE TO THE INTERNET AND VIRTUAL PRIVATE NETWORK ACCESS SERVICE

  1. Duration of the contract.

The duration of the provision of the Service will be conditioned to the purchased modality. If the modality is purchased with a temporary contract, in the event of withdrawal by the Customer before the established period has elapsed, PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL will be obliged to pay the proportional part of the registration fee of the remaining Service until the completion of the committed time, provided that the Customer has benefited from any type of promotion on the said fees.

  1. Credit limit. Warranty.

PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL may suspend the Service for the delay in payment, in whole or in part, after a minimum period of one (1) month from the day after the presentation or collection of the corresponding bill, having given prior notice to the Customer by recorded telephone call or postal mail. PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL will restore Customer Service on the next working day on which it becomes aware that the payment of the amount due has been made, accruing in favour of PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL the amount of ten (10) euros (excluding indirect taxes) for the re-establishment of the Service.

Delay in payment for the Services for a period of more than three months or temporary suspension of the contract due to delay in payment on two occasions will give the right to PARLEM TELECOM TELECOMMUNICATIONS COMPANYIA

SL to terminate the contract with respect to the Service in question if the outstanding amounts have not been paid. Additionally, in the event of exceeding the credit limit set by PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL, it may require the payment of a security deposit.

  1. Use of the information.

The Customer will be solely responsible to PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL for the information contained in the database that it supports and provides to third parties, as well as for any action or omission that violates the secrecy of communications, the privacy of natural or legal persons, with PARLEM TELECOM TELECOMMUNICATIONS COMPANY,

SL remaining exonerated from any responsibility that may derive from the uses and contents of the information. PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL does not assume any responsibility for the contents of information that are not provided by it or for the use that may be made of said contents. The Customer undertakes to comply with the rules relating to intellectual and industrial property, being solely responsible for infringements of these regulations. The Customer undertakes to take the appropriate measures to avoid any illegitimate interference with personal or family privacy, or of institutions or physical or legal entities, or that involve a violation of the right to honour or the image of third parties, being solely responsible for those acts that it performs that may impair these rights. The information or services provided by the Customer shall not constitute a violation of the fundamental rights and freedoms recognized in the Spanish Constitution and by the rest of the current legal system, in particular the provisions on the protection of the rights of consumers and users, the protection of children and youth. The Customer also undertakes to release any claim that may be made against it by anyone and which leads to the direct or indirect violation, by itself or by users belonging to its network, of the preceding clauses. If the Customer hosts information or services from third parties, it will be responsible for any possible infringements that the information or services of said third party suppliers will entail with respect to the stipulations of this contract. The Customer will be solely responsible for the configuration of the systems and equipment being appropriate to receive the Service, and may not impute any liability to PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL if the equipment owned by it does not meet the necessary requirements for at the reception of the Service. The Client's facilities may have their own means, additional passwords, confidential pages and, in general, as many procedures as are necessary to ensure the appropriate restrictions on access to their databases or applications, or to identify users of this. PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS,

SL will not guarantee the security in the access to the services provided by the Client, meaning that the nonexistence of these measures will be of exclusive responsibility of the Client for the access of unauthorized users and of the damages that can derive. The Customer will strictly observe and make observe to its users or suppliers the principles of good conduct of PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL on the Internet which will particularly include by way of merely exemplary and non-exhaustive compliance with the preceding provisions as well as:

  1. Refrain from sending email to other users who have not requested it, whether or not they are indiscriminate.
  2. Access or attempt to access databases, personal computers or institutions or any other computer medium, in a non-existent manner
  3. Obtain or try to obtain through the Internet services of any kind without carrying out the financial consideration requested for this by the bidder.
  4. Intend or succeed in altering or destroying information from PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL. or other suppliers or users.
  5. Take part in activities that impair the quality of the Service provided by other participants in the network or interfere with their use of it.
  6. Quality of internet access service.
  7. The products or services related to the Internet Access Service offered by PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL may be subject to restrictions that limit access (including the capacity or speed of the Internet Access Service), its use or applications which will be indicated in the conditions of said products or services at the time of contracting. The quality of the Service, including the speed of access to Internet access, may be affected by the execution of the procedures that PARLEM TELECOM COMPANY OF

TELECOMUNICACIONS, SL has established to measure and manage traffic in order to avoid exhausting or saturating the network. In relation to the different speed offers of the Internet Access Service made available to the CUSTOMER by PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL, the information on the minimum, normally available, maximum and announced descending speed is attached as Appendix 1 and ascendant of internet access services, as well as information on relevant factors that may limit the effective speed of the internet access service.- Compensation for non-compliance with service quality commitments. When, during a billing period, the Customer suffers temporary interruptions to the Service, PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL  will compensate the Customer with the refund of the amount of the fixed monthly fee, prorated for the length of the

interruption. For these purposes, PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL will automatically indemnify the Customer, in the bill corresponding to the period immediately to the one considered or in the following one to this one, if the invoicing processes had closed, when the interruption of the service has occurred continuously or discontinuously and is longer than six hours in the time range of 8:00 to 22:00.

  1. Limits on the responsibility of PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL

With regard to the Internet access service with a dedicated and permanent connection, PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL is responsible only up to the point of delivery of the Service, defined as the Client's Ethernet LAN port. All devices connected to this port will be the responsibility of the Customer, and PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL does not assume responsibility for its configuration, management and maintenance.   Regardless, PARLEM   TELECOM   COMPANYIA   DE   TELECOMUNICACIONS,   S.L.   is not responsible for errors, interruptions or malfunctions of the Service attributable to third parties, or for possible loss of emails caused by the poor configuration of the servers by the Customer or for any other reason.  Regarding the Virtual Private Network service, PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL is responsible only up to the physical interface of the Terminal Station. The maintenance of the communications equipment and the internal wiring, connected to an access of PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL to the Customer’s home is responsibility of the Company until the point of termination of network, understood as the point that separates the equipment of the Customer and that of PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL

  1. IP addresses.

The IP addresses that can be assigned are not the property of the Customer, so PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL, may modify them when there are causes that justify it. Likewise, PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL is not responsible for the misuse or fraudulent use by the Customer or third parties of the IP addresses provided to the Customer. As an optional feature of the basic service, the Customer may contract fixed IP addresses, committing PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL to maintain them during the term of the contract.

PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL, after notifying the Customer, may modify the assigned IP addresses in case of force majeure.

PARTICULAR CONDITIONS APPLICABLE TO THE TELEPHONE SERVICE AVAILABLE TO THE PUBLIC:

  1. Duration of the contract.

The provision of the service will have an indefinite duration.

  1. Credit limit. Warranty

PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL, may set, before and during the term of the contract, a credit limit which will be communicated immediately to the Customer. When the established limit is reached, PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL, will be able to bill and send the corresponding amount for collection. In the case of setting a credit limit, the amount of this will be determined on the basis of objective criteria that will be previously communicated to the Customer at the time of the requirement to establish this credit limit.

Likewise, PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL, reserves the right to demand, in the cases indicated below, the constitution of a security deposit, both at the time of contracting and during the term of this contract. The deposit may be demanded by PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL, in the following cases:

  1. In the event that the Customer has previously been paid for the Service and has left one or more receipts unpaid, the debt remains intact.
  2. If the customer has debts for another or other payment contracts, current or not in force at the moment or that they are repeatedly delayed in the payment of the corresponding bills.
  3. In the case of telephone service contract holders who provide equipment for public use for operation by third parties in public establishments.
  4. In those cases in which it is exceptionally authorized by the Secretary of State for Telecommunications and for the Information Department, at the request of PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL, in the event of the existence of fraud or types of fraud detected in a certain way and to ensure compliance with the contract by end users.

The non-constitution of the guarantee will entitle PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL to restrict outgoing calls to interrupt/suspend the Service and terminate the contract.  If, prior to the payment of the outstanding receipts, the Customer cancels their service or requests a change of ownership, PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL may use the deposit for the total debt contracted, and remit it, if it exists, to the Customer.

  1. Suspension and interruption of the service by PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL The total or partial non-payment for a period of more than one month from the presentation or collection of the corresponding bill may give rise, prior notice to the Customer, to the suspension by PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL of the provision of the Service. The suspension will only affect the provision of the Service corresponding to the contract to which the bill refers the amount which has been unpaid. Thus, non-payment of the charge for additional charging services, Internet access or any other than the telephone service available to the public will only result in the suspension of these services, but not the telephone service. In any case, the service will be maintained for all incoming calls, except those charged to your destination, and emergency outgoing calls. The delay in the payment of the Service for a period of more than three months or the temporary suspension, on two occasions, of the contract for delay in the payment of the corresponding services will allow PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL to proceed to the definitive interruption of the Service and the corresponding termination of the contract. The interruption of the Service will be notified to the Customer, by means of a recordable telephone call, or postal mail at least fifteen days in advance of the date on which the effective interruption will take place.  This notification will include the corresponding payment request and will indicate the date on which the interruption will occur if the payment has not been made by the Customer. The interruption of the Service may not be carried out on a public holiday or on the eve of the same, and does not exempt the Customer from the obligation to continue with the payment of the corresponding fixed monthly fees. Notwithstanding the provisions of the previous paragraph, in the event that the Customer has submitted a complaint to the Consumer Arbitration Boards or to the Secretary of State for Telecommunications and the Information Society, PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL, will not suspend or interrupt the Service while the claim is being managed provided that the Customer confidently records the amount due and delivers the corresponding receipt to PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL

In any case, PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, S.L.

will restore the suspended service during the working day following the one in which there is proof that the amount due has been paid, and will accrue in favour of PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL the amount of ten

(10) euros (excluding indirect taxes) for re-establishment of the Service. Without prejudice to the power to suspend or terminate the Service, late payment interest shall be applied to the amounts due at the EURIBOR reference rate increased by two (2) points, if ten (10) days have elapsed since the amounts are due and not payment of the amount due has been made. The application of the said interest will be made for each day that elapses from the end of the aforementioned ten (10) day period, until the date on which the payment is made.

  1. Temporary suspension of service at the request of the customer.

The Customer will have the right to request from PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL, by written communication to the registered office of PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL, the temporary suspension of the Service, for a certain period that will not be less than one month or more than three months at least fifteen (15) days prior to the effective date. The period may not in any case exceed ninety days per calendar year. The temporary suspension of the Service will imply an immediate invoicing of the outstanding balance. During the period of temporary suspension PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL will deduct from the invoice half of the fixed fee. Billing will be resumed at the time of the re-establishment of the Service, which will be automatically restored on the first working day following the period of suspension of the Service, unless the Customer requests cancellation by express written notification.

5- Compensation for non-compliance with service quality commitments. When, during a billing period, the Customer suffers temporary interruptions to the Service, PARLEM TELECOM TELECOMMUNICATIONS COMPANY,

SL must compensate with an amount that will be at least equal to the greater of the following two: a) the average amount invoiced for all services interrupted during the three months prior to the interruption, prorated for the duration of the interruption. In the event of less than three months' seniority, the amount of the average invoice will be considered the full monthly payments made or that which would have been obtained in an estimated monthly payment in proportion to the period of actual consumption carried out; b) five times the monthly subscription fee in force at the time of the interruption, prorated by the duration of the interruption. PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS,

S.L.  is obliged to automatically indemnify the Customer, in the invoice corresponding to the period immediately to the one considered when the interruption of the Service implies the right to an indemnity for an amount greater than one (1) euro. In the event of interruptions due to force majeure, PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL will limit itself to automatically compensating the Customer with the refund of the amount of the subscription fee and others independent of traffic, prorated for the duration of the interruption. The indemnity will not be applied when the temporary interruption is motivated by any of the following causes: a) a serious breach by the Client of the contractual conditions, especially in case of fraud or delay in the payment that will give rise to the application of the temporary suspension and interruption of the Service in accordance with the provisions of the particular conditions of the Telephone Service available to the public. In any case, the temporary suspension or interruption will only affect the service in which the fraud or delay in payment has occurred; b) for damage to the network due to the connection by the subscriber of terminal equipment that has not assessed compliance, in accordance with current regulations, c) non-compliance with the code of conduct by a user who provide additional charging services, when the ownership of the subscription contract corresponds to the latter.

5.1- Change of telephone subscription number(s).

The Customer will have the right to keep the same telephone number contracted in the Service in the event of a change of operator, service or physical location.

  1. - Limits on the responsibility of PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, S.L.

PARLEM TELECOM TELECOMMUNICATIONS COMPANY S.L.  is responsible only up to the network termination point (PTX). The maintenance of the communications equipment and the internal wiring, connected to a telephone line of PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL to the Customer’s home is responsibility of the Company until the point of termination of network (PTX) understood as the point that separates the equipment of the Customer and that of PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL However, in the event that the communications equipment used by the Customer is owned by PARLEM TELECOM COMPANYIA DE TELECOMUNICACIONS, SL, it would be responsible for its maintenance.
